Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (the “Customer”, “Firm”, “you”) and Ledgerly (“Ledgerly”, “we”, “us”) governing your access to and use of the Ledgerly bookkeeping and accounting platform at ledgerly.net.za (the “Service”). By registering an account or using the Service, you accept these Terms.

1. The Service

Ledgerly is a cloud-hosted platform that helps bookkeeping and accounting firms manage their clients' financial records, file SA regulatory returns (VAT201, IRP6, ITR14), produce Annual Financial Statements, and track related accounting workflows. The feature set evolves — we may add, change, or remove features, usually to improve the product.

2. Your account and your data

You are responsible for keeping your login credentials secure and for everything done under your account. You are also responsible for the accuracy of the data you and your team enter into the Service, including any records pertaining to your end-clients' businesses.

You own your data. Ledgerly holds it in trust — we store and process it only to provide the Service and to comply with our legal obligations. On request (and subject to any unpaid fees), we will provide an export of your data in a reasonable format.

3. Subscriptions and billing

Ledgerly is offered on a monthly subscription basis in tiers (Starter, Professional, Accountant, Enterprise). New accounts get a 30-day free trial with full Accountant-tier access. After the trial, continued use requires a paid subscription.

Fees are listed in ZAR and include VAT at 15%. Monthly invoicing is processed via Yoco (Yoco Technologies (Pty) Ltd, an SA-licensed payment service provider). You authorise Ledgerly to charge your provided payment method for each billing cycle until you cancel.

Cancellation. You can cancel from your subscription settings at any time. Access continues until the end of the paid period; no refunds are given for partial months. Ledgerly may suspend or terminate accounts that remain unpaid past their billing date, following reasonable notice.

4. Acceptable use

Don't use Ledgerly to commit fraud, launder money, file false SARS returns, infringe on anyone's rights, or attack the platform's infrastructure. We may suspend accounts that do. Bookkeeping firms remain responsible for the professional judgement they exercise on their clients' books — Ledgerly provides tooling, not professional advice.

5. Intellectual property

Ledgerly, including the software, UI, typography, and documentation, is our intellectual property. You get a limited, non-exclusive, non-transferable licence to use the Service during your subscription. Don't copy, reverse-engineer, or resell the platform.

6. Limitation of liability

The Service is provided “as is”. We make best efforts to be accurate, available, and compliant with SA tax law (including VAT201, IRP6, ITR14 and IFRS for SMEs conventions), but Ledgerly is a tool, not a professional advisor. You remain responsible for reviewing every return, financial statement, and tax computation before submission to SARS, CIPC, or any other authority.

To the maximum extent allowed by SA law, our aggregate liability for any claim arising from the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (including lost profits or lost data where you had reasonable means to back it up).

7. Termination

Either party may terminate on reasonable notice. We may terminate immediately for material breach (non-payment, abuse, illegal use). On termination, you retain access to export your data for 30 days, after which we may delete it.

8. Governing law

These Terms are governed by the laws of the Republic of South Africa. Any dispute will be resolved in the competent South African courts. If any clause is unenforceable, the rest of the Terms remain in effect.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 30 days before they take effect. Continued use after the effective date means you accept the updated Terms.
